BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE GIVEAWAY, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE GIVEAWAY PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. Eligibility

The FULFIL Giveaway (the “Giveaway”) is open to legal residents of the the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age or older at the time of entry. Employees, officers, and directors (including immediate family members and members of the same household) of The Hershey Company (“Sponsor”) and any other entities directly associated with the design or execution of this Giveaway (“Giveaway Parties”) are not eligible to participate. Other eligibility requirements and conditions of participation are set forth below in these official rules for the Giveaway (“Official Rules”). Void where prohibited by law. All federal, state and local laws and regulations apply. By participating in the Giveaway, you unconditionally accept and agree to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules, administration of the Giveaway, selection of the winners, and Sponsor’s exercise of discretion, which will be final, non-appealable, and binding in all respects.

2. Timing

The Giveaway begins Monday, July 7, 2025 at 12:00:00PM Eastern Standard Time (“EST”) and ends on Monday, July 21, 2025 at 11:59PM EST (the “Giveaway Period”). The designated computer clock of the Sponsor is the official time-keeping device in the Giveaway.

3. How To Enter

To participate in the Giveaway, you must log into your Instagram account (or create a free account if you do not already have one), like the giveaway post, tag one friend, and then follow @livefulfil and @‌udrippin.grips (“Entry Method”) to receive one (1) entry into the Giveaway (an “Entry”). One (1) additional entry will be given if the Giveaway post is shared to the entrant’s Instagram account. If the account is private, the shared post must be sent as a direct message to @livefulfil for the additional entry to be counted. Your Entry must include the required hashtags to be eligible. Limit one (1) Entry and one (1) additional entry per person/Instagram account via this entry method.

The Giveaway Parties are not responsible for technical difficulties of any kind, or for false, incorrect, changed, incomplete or illegible contact information.

Limit one (1) Entry per person/social media account for the Entry Method and one (1) additional Entry per person/social media account for a total of two (2) Entries during the entire Giveaway Period.

All eligilible participants to post a comment with the required hashtags and follow the brands during the Giveaway Period (“Entrant”) will have a chance to win one (1) prize. Prize includes one (1) 10ct box of Chocolate Salted Caramel FULFIL protein bars, one (1) 12ct box of Chocolate Peanut Butter made with REESE’S 1.94 oz FULFIL protein bars, one (1) UDRIPPIN Cream Magnetic Microfiber Towel and hat, and one (1) Yellow and Turquoise Pro Tour Grips on FULFIL branded paddles. Giveaway Item will be awarded on a first come, first serve basis, while supplies last.

Those who do not follow all instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified. Entries submitted by those who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. In the event of a dispute over the identity of an Entrant, entry will be deemed submitted by the registered account holder of the email address associated with the entry for the domain associated with the submitted address, provided that person is eligible. Any potential winner may be required to show proof of being the registered account holder. Registered account holder is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses. In the event that a dispute regarding the identity of the individual who submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.

4. Redemption

Upon verification, eligible participants will receive a direct message to their Instagram account that contains a redemption link 3 days after the Giveaway Period ends, or as soon as reasonably practicable. The participant must complete their redemption within 5 business days or their Prize will be forfeited. Upon verification, all Prizes will be shipped within six (6) to eight (8) weeks. Sponsor is not responsible for late, lost, delayed, or undelivered Prizes. The Prizes are non-transferable, non-exchangeable, and non-refundable, and cannot be redeemed for cash. The Prize is provided strictly on an “as is” basis without any warranties or representations from the Sponsor, whether express or implied. Limited Offer: Prize offer will be in effect according to the terms of paragraphs one and two. Sponsor is not responsible for any computer related malfunction that prevents the recipient from accessing entry or receiving their Prize via any form of delivery.

Conditions: LIMIT OF ONE GIVEAWAY ITEM SET PER PERSON DURING THE GIVEAWAY PERIOD. Each Giveaway Item is non-transferrable, non-exchangeable, and non-refundable, has no cash value, and must be accepted by an Entrant as awarded. Sponsor is not responsible for any loss or damage to the Giveaway Item.

5. Your Consent

The participant is responsible for any damage/loss due to use of a Prize. FULFIL Nutrition is not responsible for any malfunction or inconvenience that may occur.

Program is void where prohibited by law. You are responsible for all federal, state and local taxes as well as any other costs or expenses associated with use of the Prize not specified herein as being provided. By participating in the Giveaway, you agree (i) to release, discharge, indemnify and hold harmless FULFIL Nutrition and each of its parent, subsidiaries, affiliates, retailers, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, “Released Parties”) from any liability or damages which may arise out of participation in the Giveaway or out of the acceptance, use, misuse or possession of any product or service attained through this Giveaway. All applicable federal, state and local laws and regulations apply. Released Parties are not responsible for late, lost, incomplete, illegible, delayed, inaccurate, garbled, undelivered, misdirected requests, email, texts, or mail, or other errors or problems of any kind relating to or in connection with the Giveaway, whether printing, typographical, technical, computer, network, human, mechanical, electronic or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Giveaway or in any Giveaway-related materials. Persons found tampering with or abusing any aspect of this Giveaway, who are acting in a disruptive or unsportsmanlike manner or who are otherwise not in compliance with these terms, as solely determined by Released Parties will not be eligible. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer or mobile device related to or resulting from participating in this Giveaway.

6. General Rules

By entering, each Entrant agrees that: (a) he or she will abide by and be bound by these Official Rules; (b) the Entry will not be acknowledged by Sponsor; and (c) Sponsor, its affiliates, Instagram are not responsible for, and shall be released and held harmless from, any claims, injuries, death, losses or damages of any kind resulting from participation or inability to participate in the Giveaway, or the awarding, acceptance, use, misuse, possession, loss or misdirection of a Giveaway Item. Entrants further agree that Sponsor is not responsible for: (a) any typographical or other errors in the printing of the promotion materials associated with the Giveaway; (b) any error, omission, interruption, defect or delay in operation or transmission at any website; (c) failure of any Entry to be received by Sponsor due to technical problems, human error or traffic congestion on the Internet or at any website; (d) communications line, hardware and/or software failures; or (e) damage to any computer (software or hardware) resulting from participation in the Giveaway.

If, for any reason, the Giveaway is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, viability, or proper conduct of the Giveaway, Sponsor reserves the right in its sole and absolute discretion to modify these Official Rules, and/or to cancel, terminate, modify or suspend all or any part of the Giveaway. If the Giveaway is terminated by Sponsor as set forth above, Sponsor will post notice of such termination on its Website. Proof of submitting an Entry will not be deemed receipt of such Entry by Sponsor.

7. Privacy Policy

Any personally identifiable information collected from participant during participation in the Giveaway will be collected by Sponsor or their agents, and used by Sponsor and their respective affiliated companies and agents for administration and fulfillment of this Giveaway as described in these Terms and Conditions, and in accordance with Sponsor’s Privacy Policy as stated at https://livefulfil.com/privacy-policy/.

8. Applicable Laws and Jurisdiction

Except where prohibited, by participating, each Entrant agrees that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor, shall be governed by and construed exclusively in accordance with the laws of the Commonwealth of Pennsylvania without giving effect to any principles of conflicts of law of any jurisdiction and that: (a) any and all disputes, claims, and causes of action arising out of or in connection with this Giveaway, or any Giveaway item awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within Dauphin County, Pennsylvania; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, and in no event will Entrant be entitled to receive attorneys' fees or other legal costs; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
